1. Acceptance of Terms
By accessing or using the Demandra platform, APIs, or edge agents, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a corporate entity, supermarket chain, or distribution company, you warrant that you possess the legal authority to bind such entity.
2. Corporate Accounts & Access Controls
Subscribers must ensure that all authorized users maintain strong, distinct credentials. We recommend federating access through corporate Microsoft Entra ID or Google Workspace single sign-on.
You are solely responsible for all activities occurring under your administrative domain and for revoking credentials when store managers or merchandising staff depart your organization.
3. Acceptable Use & API Quotas
You agree not to reverse engineer, decompile, or disassemble any aspect of the Demandra predictive forecasting engine, or use the outputs to build a competing retail demand modeling software.
API usage must conform to rate limits specified in your tier schedule. Automated scripts exceeding reasonable batch parameters may be throttled to ensure infrastructure stability for all tenants.
4. Intellectual Property Rights
Demandra Technologies Ltd and its licensors retain all rights, title, and interest in and to the platform, machine learning models, algorithms, documentation, and user interfaces.
Subscriber retains complete and unencumbered ownership of all POS sales receipts, inventory counts, store operational logs, and trade secrets submitted to the platform.
5. Term & Termination
Annual subscriptions renew automatically unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current billing cycle.
Upon termination, Subscriber will have thirty (30) days to download all historical demand forecasts, reorder logs, and ingested store data in standard CSV/JSON format, after which all tenant records are securely shredded.
6. Limitation of Liability
To the maximum extent permitted by applicable Nigerian law, neither party shall be liable for indirect, incidental, or consequential damages resulting from lost sales or supplier stockouts.
